Vendor & Promoter Terms / Event Partner Agreement

This Vendor and Promoter Agreement governs all third-party vendors, promoters, entertainers, creators, food providers, DJs, production teams, and event partners conducting business at Thee Compound.

Purpose

Thee Compound is a private hospitality and membership venue. These standards exist to protect venue operations, member experience, safety, and business integrity.

Approval Requirement

All vendors, promoters, and event partners must receive prior approval from Thee Compound management.

Approval may require:

  • Identification verification
  • Business information
  • Insurance when applicable
  • Signed agreements
  • Deposits or operational review

Independent Contractor Status

Promoters, vendors, and partners operate as independent contractors and are not employees, agents, or legal representatives of Thee Compound unless otherwise agreed in writing.

Event Responsibilities

Approved partners agree to:

  • Follow venue rules and staff instructions
  • Maintain professional conduct
  • Respect venue operations and member privacy
  • Ensure guests and personnel follow venue standards
  • Comply with applicable laws and licensing requirements

Financial Terms

Revenue splits, commissions, rental fees, deposits, or partnership terms must be agreed upon in writing.

Failure to satisfy payment obligations may result in:

  • Event cancellation
  • Suspension of venue access
  • Legal collection remedies where permitted

Marketing & Promotion

Promoters and partners may market approved events only.

Unauthorized advertising, misleading representations, or use of Thee Compound branding without approval is prohibited.

Brand Use

Thee Compound logos, trademarks, photographs, branding, and marketing assets remain property of Thee Compound and may not be altered or used without permission.

Guest Accountability

Promoters and event hosts remain responsible for:

  • Guest behavior
  • Crowd management
  • Damage caused by attendees
  • Cleanup obligations
  • Vendor compliance

Security & Venue Operations

Thee Compound reserves authority to:

  • Require security personnel
  • Monitor venue operations
  • Enforce capacity and parking limits
  • Modify operational requirements when necessary

Property Damage & Cleaning

Partners accept responsibility for:

  • Property damage
  • Excessive cleaning
  • Missing items
  • Damage caused by guests, contractors, or vendors

Additional cleaning or repair costs may be charged.

Alcohol & Compliance

All alcohol service and venue operations must comply with applicable laws and venue policies.

Illegal activity, unlawful substances, or unsafe conduct are prohibited.

Confidentiality

Promoters and vendors agree to respect privacy, confidentiality, and venue discretion standards.

Unauthorized recording or disclosure of private information is prohibited.

Termination

Thee Compound reserves the right to cancel or terminate partnerships or events due to:

  • Safety concerns
  • Policy violations
  • Operational concerns
  • Illegal activity
  • Conduct inconsistent with venue standards

Indemnification

Promoters, vendors, and partners agree to defend and hold harmless Thee Compound, ownership, staff, and affiliates from claims, damages, or liabilities arising from their operations, guests, or activities.

Acknowledgment

Participation or business activity at Thee Compound constitutes acknowledgment and agreement to these terms.
